WorldCom agreed to acquire Intermedia in September.
WorldCom entered negotiations with Intermedia after talks between Intermedia and Global Crossing broke down.
The InterMedia deal was subsequently reported by The Daily News.
Intermedia spokesman Alan Hill said, "I'm still not commenting".
The judge said Intermedia executives serving on the board of Digex, a company that Intermedia controls, might have violated their legal duties to Digex shareholders by waiving anti-takeover defenses to smooth the path for WorldCom's acquisition of Intermedia.
Intermedia rejected offers from Exodus and Global Crossing before accepting WorldCom's bid.

Now, they're collaborating on the script for Intermedia, with Mr. O'Connor set to produce.
WorldCom would shoulder immediate expenses connected to Intermedia bonds, which are rated or below investment grade.
WorldCom will assume more than $3 billion in Intermedia debt, they said.
