A Robert Sokolski, a Manhattan real estate lawyer, said that standard contracts of sale typically provide that if the board does not approve or reject the sale by the closing date in the contract of sale, the closing date is adjourned for 30 business days.
The biggest sticking point in contract negotiations, he said, is the closing date.
On the other hand, real estate lawyers say, when the words "time is of the essence" are added to those same contracts, it generally means that the closing date is the closing date.

"What the closing date means depends on how it's set forth in the contract," Mr. Altman said.
