"Money can be put into escrow until the issue is remedied or resolved," Mr. Heddings said, "but the determination of how much money is often a struggle.
Usually money is put into escrow accounts in Beijing; then a list of infrastructure projects is drawn up, Chinese companies are given contracts to build them and funds are transferred to company accounts.
Another $15.7 million will go to pay expenses connected to the offerings, and about $80 million will be put into escrow to assure that the company will have the money to make interest payments for the first three years that the bonds are outstanding.
He said: "All you need is the fans to say 'we've seen this before, we want to support the club, we want to buy season tickets but we're insisting the season-ticket money is put into escrow with a major legal firm and it won't be touched until the beginning of the season so we know it's there'.
"It's not unusual for a county to collect $2,000 per quarter to pay for upkeep of the local education system, and sometimes three to four quarters are required to be collected upfront at the closing table to be put into escrow," he said.
One buyer, for example, may offer a higher purchase price, but require that part of the sale proceeds be put into escrow to cover any claims it may have post-closing and/or require that the seller have no "cap" on liability post-closing (see #3 below); another buyer may offer a lower purchase price, but not require an escrow and only require a 10% cap.
