The United States Department of Justice sent a letter to BP last month requesting at least 30 days' notice of "any planned or contemplated events going forward that may involve substantial transfers of cash or other corporate assets outside of the ordinary course of business" by BP — the kinds of actions that might precede a bankruptcy filing.
There are some exceptions, including the requirement that IAC not take any action "outside the ordinary course of business" without Mr. Malone's approval.
Accordingly, Embarq's actions fell within its ordinary course of business.
Furthermore, the D.C. Circuit has held in a section 2510 5)(a)(i) case that a defendant's actions may fall outside the "ordinary course of business" exception when the defendant violates its own internal policies.
Under the deal between Liberty and IAC, Mr. Diller gets the right to vote Liberty's shares, but requires that IAC seek Mr. Malone's approval to take actions that are "outside the ordinary course of business".
